Lauren E. Dean, Founder & CEO
Lauren E. Dean, a CPA and an attorney, founded CornerBishop in 2019 to provide strategic, practical and timely advice, drawing on her legal and financial experience and business judgment, to companies facing key milestone’s in their development.
Ms. Dean has more than 17 years of experience in capital markets, corporate governance, private equity, mergers & acquisitions, real estate development and other matters, serving as both external and internal counsel involved in a variety of unique and complex transactions, such as initial public offerings of both U.S. companies and foreign private issuers, debt and follow-on equity offerings, public and private mergers, acquisitions and tender offerings, complex financing transactions and large corporate restructurings.
Prior to founding CornerBishop, Ms. Dean served as Senior Vice President, Associate General Counsel and Assistant Secretary at iHeart Media, Inc., a leading international media and entertainment company, including its majority owned subsidiary, Clear Channel Outdoor Holdings, Inc., one of the world’s largest outdoor advertising companies. In this capacity, she rose quickly through the ranks and worked side by side with the General Counsel to manage all matters relating to the corporate governance of 2 public company boards, including the unique relationship between iHeart and Clear Channel and with their private equity sponsors, Bain Capital and Thomas H. Lee Partners. In addition, Ms. Dean worked side by side with the general counsel in managing the largest corporate restructuring commenced during 2018, which took iHeart’s funded debt from $16.1 billion to $5.75 billion. In her day-to day role at iHeart and Clear Channel, she worked closely with the accounting, internal audit, treasury, finance and liquidity management teams to oversee all matters relating to liquidity-generating and financing transactions, securities law compliance and other compliance matters, including management and oversight of the companies’ primary outside counsel.
Ms. Dean began her legal career at Vinson & Elkins L.L.P. practicing corporate and securities law, initially in New York City and then in Austin, advising clients for more than 7 years on corporate governance matters, capital markets transactions, including initial public offerings of U.S. companies and foreign private issuers, debt and follow-on equity offerings, public mergers and acquisitions and tender offers and private equity transactions.
Ms. Dean graduated from Wake Forest University in Winston-Salem, NC with her BS / MS in Accountancy in 2003 and the University of Texas School of Law in Austin, TX with honors in 2006, and is licensed to practice law in both Texas and New York. She passed the CPA exam in 2003, recognized with high distinction, and finalized her certification in 2014.
